Khi nào phải lập địa điểm kinh doanh?

Theo luật doanh nghiệp 2020 khi mở rộng kinh doanh doanh nghiệp được đăng ký thêm địa điểm kinh doanh để triển khai kinh doanh. Tùy theo chức năng mà chúng ta quen gọi như sau:

1. Lập văn phòng điều hành, văn phòng giao dịch của công ty để giao dịch, xúc tiến hợp đồng, mua bán hàng hóa, bảo hành hàng hóa,...
2. Lập kho chứa hàng, xưởng sản xuất hay địa điểm kinh doanh có các chức năng hỗ trợ sản xuất, lưu trữ hàng hóa.

Pháp luật quy định doanh nghiệp chỉ được phép triển khai kinh doanh trên địa chỉ đã đăng ký kinh doanh do đó thủ tục lập địa điểm kinh doanh là bắt buộc đối với điểm kinh doanh ngoài trụ sở chính của doanh nghiệp.

Văn phòng giao dịch có phải là văn phòng đại diện không?

Theo luật doanh nghiệp 2020 thì có 4 dạng địa chỉ hoạt động kinh doanh của doanh nghiệp gồm: Trụ sở chính; Trụ sở chi nhánh; Trụ sở văn phòng đại diện; Địa điểm kinh doanh. Như vậy văn phòng giao dịch và văn phòng đại diện là khác nhau. Văn phòng đại diện là loại địa chỉ duy nhất của doanh nghiệp không được triển khai hoạt động kinh doanh.

Khi nào phải đăng ký mã số thuế cho địa điểm kinh doanh

Căn cứ các quy định về đăng ký doanh nghiệp, trường hợp đơn vị chủ quản của địa điểm kinh doanh là doanh nghiệp hoặc chi nhánh của doanh nghiệp thành lập địa điểm kinh doanh tại địa phương cấp tỉnh khác với địa phương cấp tỉnh nơi doanh nghiệp, hoặc nơi chi nhánh của doanh nghiệp đóng trụ sở [trường hợp chi nhánh được giao quản lý địa điểm kinh doanh, có thực hiện khai thuế, nộp thuế riêng với cơ quan thuế quản lý trực tiếp chi nhánh]. Cơ quan thuế căn cứ vào thông tin đăng ký địa điểm kinh doanh của cơ quan đăng ký kinh doanh để cấp mã số thuế 13 số cho địa điểm kinh doanh và đơn vị chủ quản địa điểm kinh doanh thực hiện kê khai, nộp thuế giá trị gia tăng của địa điểm kinh doanh theo hướng dẫn tại Điểm 2 và Điểm 4 công văn số 3200/TCT-KK ngày 12/8/2019 của Tổng cục Thuế cho đến khi Luật Quản lý thuế số 38/2019/QH14 có hiệu lực thi hành.

Như vậy, công ty khi mở địa điểm kinh doanh để làm văn phòng điều hành, văn phòng giao dịch tại tỉnh thành phố khác thì doanh nghiệp phải bắt buộc đăng ký mã số thuế phụ cho địa điểm kinh doanh.

Hồ sơ đăng ký địa điểm kinh doanh cần giấy tờ gì?

1. Giấy đề nghị đăng ký địa điểm kinh doanh
2. Bản sao công chứng CMTND/ Hộ chiếu của người đứng đầu địa điểm kinh doanh nếu người này không phải là người đại diện theo pháp luật của doanh nghiệp.

Điều kiện lập địa điểm kinh doanh hợp pháp

Để thành lập một địa điểm kinh doanh hợp pháp, doanh nghiệp cần lưu ý những vấn đề pháp lý sau:

• Một là, địa chỉ đăng ký địa điểm kinh doanh không được đăng ký tại chung cư, nhà tập thể, nhà không sử dụng cho mục đích văn phòng, thương mại.
• Hai là, người đứng đầu địa điểm kinh doanh được bổ nhiệm hợp pháp và có đủ trình độ quản lý khi địa điểm kinh doanh có triển khai kinh doanh ngành nghề kinh doanh có điều kiện.

Quy định mới về thủ tục đăng ký địa điểm kinh doanh

✔ Thứ nhất địa điểm kinh doanh là nơi mà doanh nghiệp tiến hành hoạt động kinh doanh cụ thể do đó doanh nghiệp có thể đặt tên theo đúng chức năng kinh doanh mà mình mong muốn.

Ví dụ : Công ty có thể đặt tên địa điểm kinh doanh là Trung tâm ngoại ngữ ABC

Công ty đặt tên địa điểm kinh doanh là Văn phòng giao dịch Hoàng Mai ; Kho hàng số 01 ;…

✔ Thứ hai địa điểm kinh doanh cũng có ngành nghề kinh doanh nên công ty phải đăng ký danh sách ngành nghề hoạt động tại địa điểm phù hợp với hoạt đông kinh doanh thực tế. Địa điểm kinh doanh chỉ được đăng ký một trong các ngành nghề công ty hiện có và ngành nghề đó phải có mã ngành chuẩn với hệ thống mã ngành kinh tế Việt Nam.

✔ Thứ ba, công ty được phép mở địa điểm kinh doanh ở tỉnh, thành phố khác với nơi đặt trụ sở chính công ty, trụ sở chính chi nhánh. Điểm mới này rất quan trọng vì khi mở rộng kinh doanh sang địa phương khác công ty không phải lập chi nhánh.
