Article 116. Voting preference shares
and rights of holders thereof
1. Cổ phần ưu đãi biểu quyết là cổ phần có số phiếu biểu
quyết nhiều hơn so với cổ phần phổ thông. Số phiếu biểu quyết của một cổ phần
ưu đãi biểu quyết do Điều lệ công ty quy định.
1. Voting preference shares are the
shares with more votes than ordinary shares; the number of votes of a voting
preference share shall be prescribed by the companys charter.
2. Cổ đông sở hữu cổ phần ưu đãi biểu quyết có các quyền
sau đây:

has the rights to:
a) Biểu quyết về các vấn đề thuộc thẩm quyền của Đại hội
đồng cổ đông với số phiếu biểu quyết theo quy định tại khoản 1 Điều này;
a) Vote on the issues within the
competence of the General Meeting of Shareholders with the number of votes
prescribed in Clause 1 of this Article;
b) Các quyền khác như cổ đông phổ thông, trừ trường hợp
quy định tại khoản 3 Điều này.

shareholders, except for the case in Clause 3 of this Article.
3. Cổ đông sở hữu cổ phần ưu đãi biểu quyết không được
chuyển nhượng cổ phần đó cho người khác.
3. Holders of voting preference shares
must not transfer such shares to other persons.
